1. Preamble and Acceptance of Terms

These Terms of Service constitute a binding legal contract between ShopGPT and users accessing or utilizing the platform. By creating an account or using the Services, you acknowledge agreement to these Terms. Users representing legal entities warrant they have authority to bind that entity.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.

2. Definitions

"Services": The ShopGPT SaaS platform, including API access, AI content generation tools, data enrichment features, and plugins.
"User Content": Data, text, images, product catalogs, and information submitted to the Platform.
"AI Output": Text, descriptions, code, or media generated by the Platform's AI algorithms based on User Content.
"AI Credits": Digital units measuring consumption of AI processing power.
"Product": Maximum individual product records from your store synced within the Platform.
"Subscription Term": Agreed billing period (monthly or annual) for Service access.

3. License Grant and Access

3.1. Limited License

Subject to compliance with these Terms and payment of fees, Company grants a limited, non-exclusive, non-transferable, revocable license to access and use Services for internal business purposes during the Subscription Term.

3.2. Restrictions (Acceptable Use Policy)

Users shall not:

Reverse engineer, decompile, or disassemble the Platform
Build competitive products using the Services
Use Services for illegal purposes or generate fraudulent content
Bypass security devices or protections

4. Artificial Intelligence Disclaimer

4.1. Accuracy of Output

AI systems are probabilistic and may produce erratic, factually incorrect, or offensive results ("Hallucinations"). "The Company makes no representation or warranty regarding the accuracy, completeness, or reliability of any AI Output."

4.2. Human Oversight Required

Users are solely responsible for reviewing, verifying, and editing all AI Output before publishing or commercial use. Users assume all risks associated with AI Output, including legal compliance.

5. Intellectual Property Rights

5.1. Company IP

ShopGPT retains all rights, title, and interest in the Services, including software, algorithms, designs, trademarks, and trade secrets.

5.2. User Content & AI Output

Ownership: Users retain User Content ownership. Users own rights to AI Output generated specifically for them.
License to Company: Users grant Company worldwide, royalty-free license to host, copy, process, and display User Content and AI Output as necessary to provide Services and improve AI models on an anonymized basis.

6. Fees, Billing, and Cancellation

6.1. Subscription Fees

Premium feature access requires payment of explicitly stated Fees, exclusive of applicable taxes.

6.2. Billing Authorization

By providing payment methods, users authorize Company and payment processors (such as Stripe) to charge Fees on a recurring basis until cancellation.

6.3. Refunds and Credits

All Fees are non-refundable. As Services provide immediate access to digital AI Credits and computational resources, all sales are final.

(a) Usage as Waiver: "By using even one (1) AI Credit, You explicitly request immediate performance of the service and acknowledge that You waive any statutory right to a cooling-off period or refund."

(b) Monthly Reset: Unused AI Credits do not roll over to the next billing cycle and expire at each Subscription Term's end, unless otherwise stated.

7. Confidentiality and Data Protection

7.1. Privacy Policy

Service use is governed by the Privacy Policy, incorporated herein by reference.

7.2. Data Security

Industry-standard security measures are implemented. However, no Internet data transmission is 100% secure. Users are responsible for maintaining account credential confidentiality.

8. Third-Party Integrations

Services may integrate with third-party platforms (Shopify, WooCommerce, WordPress). Users acknowledge:

Third-party platform use is governed by their respective terms
Company is not responsible for downtime, data loss, or account suspension on third-party platforms resulting from ShopGPT use

9. Warranties and Disclaimers

"THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE.' TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPGPT. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT."

The Company does not warrant uninterrupted, error-free service or freedom from harmful components.

10. Limitation of Liability

"TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHOPGPT., ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION."

Total aggregate liability shall not exceed the total amount paid by users in the twelve months preceding the claim.

11. Indemnification

Users agree to indemnify, defend, and hold harmless ShopGPT and its officers, directors, and employees from claims, liabilities, damages, and expenses (including legal fees) arising from:

Violation of these Terms
User Content or AI Output use
Violation of third-party rights, including intellectual property rights

12. Term and Termination

12.1. Termination by Company

Company may suspend or terminate access immediately without notice if users breach Terms or if account usage poses security risks.

12.2. Effect of Termination

Upon termination, user license to use Services ceases immediately. Company reserves the right to delete User Content and AI Output after a commercially reasonable period.

13. Governing Law and Dispute Resolution

13.1. Jurisdiction

Agreement is governed by the laws of [State of California, United States / London, England and Wales / Islamabad, Pakistan], without regard to conflict of law principles.

14. Miscellaneous

Severability: Invalid provisions do not invalidate remaining terms.
Entire Agreement: These Terms constitute the entire agreement regarding subject matter.
Changes: Company may update Terms periodically. Continued service use after updates constitutes acceptance.

16. Privacy Policy Incorporation

These Terms must be read with the Privacy Policy, which details Personal Data collection, processing, and protection. By agreeing to these Terms, users acknowledge reading the Privacy Policy and consent to described data practices. In conflicts between Terms and Privacy Policy regarding Personal Data processing, the Privacy Policy prevails.
